What the work covers

A China transaction brings together company law, employment, tax, property and regulatory approvals. The legal work is most useful when it is sequenced around the deal timetable rather than treated as a separate checklist.

We carry out legal due diligence, prepare and negotiate the transaction documents, and manage the signing and closing mechanics, including the employee and regulatory consequences that follow.

  • Legal due diligence on the target and its material contracts
  • Share purchase, asset purchase and capital-increase documents
  • Signing, closing and funds-flow mechanics
  • Regulatory filings and approvals for foreign investment
  • Employee transfer, retention and termination planning
  • Post-completion integration and corporate clean-up

When clients call us

  • A foreign buyer is assessing a Chinese target and needs the legal risks separated from the commercial ones.
  • A founder is selling a business and wants the warranty and indemnity positions explained before signing.
  • A group is reorganising Chinese subsidiaries and needs the documents and filings to match.

Preparing for a first consultation

Bringing the documents below to the first meeting usually makes the time more productive. If some are missing, send what you have and we will identify the gaps.

  • The term sheet or heads of terms and the current timetable.
  • The target’s corporate documents, licences and key contracts.
  • A structure chart showing the entities and shareholders involved.
  • Any known regulatory, employment or tax issues.

How consultation fees work

A short call to the 24/7 line is free and is used to identify the next step. If you need more than that, we arrange a scheduled consultation. In-person consultations at our Jing’an office are charged by the hour; the hourly basis and the expected duration are confirmed in writing before the appointment.

In-person consultation

Billed by the hour

  • Review of the documents you send in advance
  • The in-person meeting, up to the time booked
  • A written summary of the main points and next steps

The hourly rate, the expected duration and the scope of the consultation are confirmed in writing before the appointment. VAT, official fees, translation, notarisation and other disbursements are charged separately. Matter work that follows a consultation — drafting, filings, negotiation or court work — is scoped and quoted separately. How consultations work.

Questions we are asked

Do you work with accountants and investment banks?

Yes. Legal due diligence sits alongside financial and tax work, and we coordinate the findings so that the transaction documents address the risks each adviser identifies.

Can you handle a cross-border share deal?

We handle the PRC-law and China-side execution and coordinate with counsel in the relevant offshore jurisdiction for the foreign-law documents.
