What the work covers

Digital businesses face a mix of contract, intellectual-property and data questions. A SaaS agreement, a platform’s terms of use and a data-transfer arrangement are separate documents, but they need to be consistent with one another.

We review and draft technology contracts, advise on data compliance and cross-border transfers, and help suppliers and customers allocate responsibility when a service fails or data is mishandled.

  • SaaS, software, cloud and outsourcing agreements
  • Technology licensing and source-code arrangements
  • Platform terms of use, privacy policies and user agreements
  • Personal-information and data-compliance reviews
  • Cross-border data transfer questions
  • Service-level, security and liability provisions

When clients call us

  • A company is signing a new SaaS or cloud contract and needs the data and liability terms reviewed.
  • A platform is launching in China and needs its terms and privacy notices aligned with local requirements.
  • A business is transferring personal data across borders and needs the route assessed.

Preparing for a first consultation

Bringing the documents below to the first meeting usually makes the time more productive. If some are missing, send what you have and we will identify the gaps.

  • The contract, the platform terms or the privacy documentation.
  • A data map showing what is collected, where it is stored and who receives it.
  • The list of vendors and group companies involved.
  • The launch date and any regulatory deadline.

How consultation fees work

A short call to the 24/7 line is free and is used to identify the next step. If you need more than that, we arrange a scheduled consultation. In-person consultations at our Jing’an office are charged by the hour; the hourly basis and the expected duration are confirmed in writing before the appointment.

In-person consultation

Billed by the hour

  • Review of the documents you send in advance
  • The in-person meeting, up to the time booked
  • A written summary of the main points and next steps

The hourly rate, the expected duration and the scope of the consultation are confirmed in writing before the appointment. VAT, official fees, translation, notarisation and other disbursements are charged separately. Matter work that follows a consultation — drafting, filings, negotiation or court work — is scoped and quoted separately. How consultations work.

Questions we are asked

Do you handle PIPL compliance projects?

Yes, on the legal side: policies, contracts, data-processing terms, transfer routes and authority correspondence. Technical security measures are handled with your IT and security advisers.

How can personal data be transferred out of China?

Depending on the data and the parties, the main routes are a security assessment, a standard contract filing or certification. The threshold and the documents differ, so the route should be chosen after a data review.
